We’re hiring an Associate General Counsel in Columbus, OH

We’re looking for a high energy, enthusiastic person to serve as our Associate General Counsel, adding value to and further strengthening the “backbone” of our business and legal teams. This person will focus on core corporate transaction and compliance work, including negotiating and drafting contracts and transaction documents, assisting with Board and committee matters and working with business partners on a variety of legal and compliance issues. Candidate must be self-aware, knowing when to seek help from management or outside counsel experts. The Associate General Counsel will report to our General Counsel.

Responsibilities

  • Develop and refine contracting processes and templates to enhance standardization and compliance
  • Draft and negotiate transactional documents and commercial contracts, particularly those in the context of vendor relationships, joint ventures, contractual affiliations, and professional services arrangements
  • Assist with trademark and patent matters
  • Serve as the primary point of contact for shareholders as it relates to employee equity plan documentation & informational requests
  • Assist in legal support for various human resources/compensation plans, such as executive compensation documentation
  • Assist management of cross-functional due diligence processes and agreement drafting and review in connection with strategic transactions
  • Assist with ethics compliance matters
  • Provide support for Board and committee matters
  • Manage corporate registration compliance processes

Qualifications

  • JD required; licensed to practice law in Ohio 
  • 5 + years of increasingly responsible corporate and/or transactional experience, with financial services experience highly valued
  • Experience managing or advising with respect to employee equity plan highly valued
  • Strong understanding of start-up business opportunities and challenges
  • Ability to build collaborative working relationships
  • Curious in nature
  • Great attention to detail
  • Self-starter and ability to work independently and effectively prioritize work
  • Ability to handle ambiguity and quickly adapt when changes occur
  • Strong written and oral communication skills
  • Ability to approach problems with an open mind
